Terms and Conditions

1.General:

  1. All services and deliveries are subject exclusively to these general terms and conditions of sale, which supplement the licensing conditions of the products by their manufacturers. All product names and logos are the property of their respective manufacturers. The images of the products are only examples and may differ from the actual appearance of the product. With the publication of this catalog, all previous offers become invalid.
  2. All changes to the terms and conditions of sale, all conventions and additional agreements must be made in writing. The applicable terms and conditions of sale are the most recently published version.
  3. All information and offers on goods sold are subject to change on our part. Due to the constant technical development and improvement of the products, we reserve the right to change their design and appearance compared to the information in our documents and on the Internet. This also applies to all changes in terms of delivery times, errors and possible misprints. Buyers are advised that they do not have to accept delivery of products that they did not order or did not order in this changed state. Returns and right of cancellation §5. Returns are at the customer's expense and responsibility.
  4. The purchase contract is concluded upon receipt of a written order confirmation (email is sufficient) or upon receipt of the goods by the customer (and after expiry of the statutory return and cancellation period). 2.Prices and payment:

  1. The prices for delivery are those in effect at the time of the order. The currency used for the prices in the catalogue is € (Euro) and does not include the VAT applicable at the time the catalogue was drawn up. In addition to the net prices, the invoices also include the costs of transport, insurance, packaging and the current VAT.
  2. Price changes due to war, customs duties, import and export costs, exchange rate changes, allocated goods, prices imposed by the book market, daily prices, etc. are possible. The items affected by these price changes are marked with an * on the invoices. Returns, in the original packaging, are of course possible.
  3. Invoice deliveries (administration, companies) are to be paid within 7 days of the invoice date without deduction. In the event of late payment, we are entitled to charge interest at a rate of 5% above the base interest rate announced by the Deutsche Bundesbank. We are also entitled to refuse further deliveries to the customer, regardless of the contract involved. In this case, we are not liable for damages caused by withholding deliveries.

  4. The goods remain in the seller's possession until the buyer has fulfilled his part of the contract. If the buyer is a merchant and the contract is part of his terms and conditions, the goods remain in the seller's possession until all claims arising from the seller's contract, including future, present and past contracts, have been fulfilled. The buyer is entitled to resell the purchased goods. However, the buyer assigns to the seller all claims arising from the resale, up to the amount of the original purchase contract. The buyer is entitled to accept payments within the framework of his normal terms and conditions. The seller can revoke this permission if he has good reasons - in particular late payment, cessation of payment, etc.
    The buyer is prohibited from pledging or transferring the reserved goods as security. If the goods are seized or otherwise confiscated by a third party, the buyer is obliged to immediately point out the ownership of the goods and to notify the seller of the seizure either by telephone or in writing.
    If the goods are further processed with other goods not belonging to the seller, the seller is granted a co-ownership share in the end product in proportion to the value of the seller's goods to the new product at the time of processing.
    In the event of an intentional breach of contract, in particular non-payment, the seller is entitled to repossess the goods. Taking back the goods does not constitute a withdrawal from the contract unless the Installment Purchase Act applies.

3.Warranty

  1. If the goods are defective or do not meet the advertised characteristics, the seller can, at his discretion, deliver a replacement or repair the goods, excluding any other warranty claims. If the repair or replacement delivery fails, the buyer can demand a reduction in price or withdraw from the purchase contract. Obvious defects must be reported in writing within two weeks of delivery. If the buyer does not respond within this period, he loses all warranty. The seller can demand compensation for the time and costs invested in searching for a reported but unproven defect. In this case, the maintenance tariff applies. Used goods are not covered by the guarantee.

4. Compensation:

  1. Claims for damages due to breach of contract, error in concluding the contract or unlawful action cannot be asserted against the seller and his representatives unless the breach was intentional or negligent. This does not apply in the event of a breach of essential contractual provisions. This also does not apply to claims for damages due to non-fulfillment of product properties that arise in the context of protecting the buyer against defective products.

5. Rights and obligations:

  1. The buyer is not entitled to assign the rights and obligations arising from the contract to a third party without the consent of the seller.

6. Invalidity:

  1. Should a clause of these terms and conditions be invalid, this shall not affect the remaining clauses of the terms and conditions. All legal disputes arising from a legal transaction between the seller and a legal entity under public law shall be subject exclusively to the German courts at the seller's registered office.
